GENERAL TERMS AND CONDITIONS OF SERVICE

1. Acceptance of the Terms

By registering, accessing, or using any of the services offered by JPC Solutions S.A. (hereinafter, “JPC” or the “Company”), the Client agrees to be bound by these Terms and Conditions. If the Client does not agree, they must refrain from using the services.


2. Definitions

Client: Natural or legal person who uses JPC’s services.

Account: Registration enabled in the Client’s name to operate the services.

Transaction: Instruction to send, receive, convert, or transfer funds.

Services: Include local and international transfers, payments, currency conversion, digital wallets, and integrations with financial networks.


3. Services Provided

JPC provides payment processing services, fund transfers, receipt of funds, currency conversion, and other financial services enabled in accordance with applicable regulations and agreements with correspondent entities.

The services may be subject to operational limits, compliance reviews, and internal risk management policies.


4. Client Requirements

The Client must:
• Provide truthful and up-to-date information
• Comply with identity verification processes (KYC/KYB)
• Keep their information updated when required


5. Compliance and Monitoring

JPC implements anti-money laundering, counter-terrorist financing, and fraud prevention policies. The Client acknowledges that:
• All transactions may be monitored
• JPC may request additional documentation
• Transactions may be held or rejected for compliance reasons


6. General Fees and Charges

Use of the services may be subject to fees, commissions, or operational charges. These may include:
• Transfer fees
• Currency conversion charges
• Third-party correspondent fees
• Payment network costs

Current fees are communicated to the Client through JPC’s official channels.


7. Operational Fees Based on Activity Level and Enhanced Monitoring

7.1 Nature of These Fees

Certain levels of transactional activity generate additional operational costs associated with enhanced monitoring, risk analysis, and regulatory compliance.

These fees do not constitute penalties, but rather charges intended to cover supervision costs associated with intensive or higher operational complexity usage.

7.2 Activation Based on Activity Level

Additional operational fees may apply when:

a) The Client performs fifty (50) or more outgoing transfers in a calendar month, and/or
b) The volume, frequency, or complexity of transactions requires enhanced monitoring, as determined by the Compliance and Risk Management department.

7.3 Transfer Classification

Each transfer will be classified according to its individual amount:

The fee applies to each individual transfer.

7.4 Classification Authority

JPC may:
• Classify accounts based on activity level
• Reclassify accounts if transactional patterns change
• Apply enhanced due diligence when applicable

7.5 Billing Method

Fees may be automatically debited at the time of the transaction or settled monthly. The Client authorizes such debits.

7.6 Notifications

JPC may notify the Client when their activity approaches the thresholds that trigger this fee structure. Continued use of the service implies acceptance.

7.7 Modifications

JPC may modify fees, thresholds, or levels for regulatory, operational, or risk-related reasons, providing prior notice to the Client.


8. Client Obligations

The Client agrees to:
• Not use the services for unlawful activities
• Not operate on behalf of third parties without authorization
• Comply with applicable local and international regulations


9. Suspension or Termination

JPC may suspend or terminate the Client’s account for breach of these Terms, regulatory risk, misuse, or failure to pay fees.


10. Liability

JPC shall not be liable for indirect losses, consequential damages, or loss of profits. Direct liability is limited to the amount of the affected transaction.


11. Data Protection

The Client authorizes JPC to collect and process personal and transactional data in accordance with applicable legislation and the privacy policy.


12. Intellectual Property

All rights to platforms, software, trademarks, and content belong to JPC or its licensors.


13. Amendments to the Terms

JPC may update these Terms. Continued use of the service after notification constitutes acceptance of the modifications.


14. Governing Law and Jurisdiction

These Terms are governed by the applicable laws of the jurisdiction where JPC operates. Any dispute shall be resolved before the competent courts.


15. Acceptance

By using the services, the Client declares that they have read, understood, and accepted these Terms and Conditions.
